1. Introduction and acceptance
These Terms of Service ("Terms") govern the use of the Bookitive platform by event organizers. By creating an account or an organization, you enter into a contract with us under these Terms. If you act on behalf of a company, association or other entity, you confirm that you are authorized to bind it.
By accepting these Terms you represent that you use Bookitive in connection with organizing events. If you are a natural person acting outside your trade or business, you are a consumer and section 17 grants you additional rights. Nothing in these Terms limits rights that mandatory law grants you.
2. Who we are
The Bookitive platform is operated by Jetlio, s.r.o., ID No. (IČO) 09967231, with its registered office at Voroněžská 2547/1, 616 00 Brno, Czech Republic, registered in the Commercial Register kept by the Regional Court in Brno, file C 121887 ("Bookitive", "we"). Contact: [email protected]. Privacy matters: [email protected].
3. Definitions
- Platform — the Bookitive software service, including the administration application, hosted event pages, checkout, embeddable widget, check-in tools and APIs.
- Organizer ("you") — the person or entity that created an organization on the Platform and offers tickets to events.
- Buyer — a person who obtains a ticket to an Organizer's event.
- Organizer Data — data you and your Buyers enter into the Platform, including personal data of Buyers and attendees.
- Fees — our remuneration per the current pricing.
4. Nature of the service — Bookitive's role
Bookitive is a technical platform. The seller of every ticket is the Organizer, not Bookitive. A ticket purchase forms a contract between the Buyer and the Organizer and is governed by the Organizer's own terms of sale. Where payments are made by bank transfer to your account, Bookitive does not receive, hold or forward ticket revenue — payments go directly to your bank account.
As the seller, you undertake to:
- publish your own terms of sale and your identity to Buyers,
- respond to Buyer inquiries about your events without undue delay, at the latest within 5 business days,
- inform Buyers promptly about cancellations, changes of date or venue, and
- handle refunds owed to Buyers, including when an event is cancelled. The Platform provides tools for refunds, but the obligation is yours.
We will direct Buyers who contact us about your event to you. If you repeatedly fail these duties, we may suspend sales of the affected event or your organization (section 15).
5. Account and organization
Sign-up is free and requires no payment card. You provide truthful information and keep your credentials secure. You may invite team members and assign them roles with different permissions; you are responsible for the actions of everyone acting within your organization. Notify us immediately at [email protected] if you suspect unauthorized access.
6. Payment methods and third parties
You choose which payment methods your events offer. Where you connect your bank account for automatic payment matching (currently Fio banka), you grant us read access under your bank's conditions and you are responsible for keeping the connected account correct. Where a payment service provider is integrated in the future, your relationship with that provider is governed by its own terms. We may suspend a payment integration if we receive credible notice of its abuse.
7. Fees
- Using the Platform carries no monthly fee.
- We are entitled to a commission on paid online ticket sales per the current pricing, capped per ticket. Free tickets and box-office (on-site) sales carry no commission.
- Collection depends on your payment setup: where payments run through an integrated payment provider, Fees may be deducted from the amounts processed; where payments go directly to your bank account, we invoice Fees monthly in arrears with 14-day payment terms. Small balances may be carried over to the following month.
- Fees are stated exclusive of VAT; VAT is added where the law requires it.
- Fee changes follow section 16 (at least 30 days' notice); changes never apply to tickets already sold.
- Fees are not refundable if you cancel an event; commissions on Buyer payments you refunded through the Platform's refund tools are credited against future Fees.
8. Acceptable use
You agree to:
- organize events in compliance with applicable law and keep event information truthful,
- fulfil your own tax, accounting and regulatory obligations related to selling tickets,
- when using sponsor outreach, contact only persons you may lawfully contact, ensure each message complies with commercial-communication rules (honest subject line, sender identification, working opt-out — the Platform enforces parts of this automatically), and bear responsibility for the content of messages you review and send,
- not use the Platform for fraud, spam, unlawful content, or to circumvent its protective mechanisms (including anti-scalping controls), and
- not probe, scan or test the vulnerability of the Platform except through our responsible-disclosure process.
9. Personal data
Data handling is described in the Privacy Policy. For Buyer and attendee data, you are the controller and we are your processor under the Data Processing Agreement, which forms part of these Terms. Our subprocessors are listed at Subprocessors. For platform security and fraud prevention we act as an independent controller, as described in the Privacy Policy.
10. Intellectual property
The Platform, its design and software remain our property. You retain all rights to Organizer Data; you grant us a licence to host and process it solely to provide the service. If you give us feedback, we may use it without restriction. We may reference your organization's name and logo as a customer with your consent, which you may withdraw at any time.
11. Features in preparation and beta features
Features marked as "in preparation", "beta" or "early access" are not part of the service until launched, may change or be withdrawn without notice, and are provided without warranty.
12. Warranties and disclaimers
We provide the Platform with professional care, as it stands at the time of use. Except as expressly stated in these Terms or required by mandatory law, we make no other warranties. We do not warrant that the Platform will be uninterrupted or error-free. Door check-in is designed to keep working offline, so a connectivity outage does not stop your entrance.
13. Liability
Neither party is liable for indirect damages or lost profit. Our total liability arising from or related to the contract is limited to the higher of (a) the Fees you paid us in the 12 months preceding the event giving rise to the claim, or (b) CZK 10 000.
This limitation does not apply to damage caused intentionally or by gross negligence, to injury to natural rights of a person, or in other cases where the law does not permit limitation. Nothing in this section limits a consumer's statutory rights.
14. Indemnification
You will indemnify us against third-party claims arising from (a) disputes between you and your Buyers, including cancelled events and refunds, and (b) content you upload or messages you send through the Platform in breach of section 8. We will indemnify you against third-party claims that the Platform itself, as provided by us and used per these Terms, infringes their intellectual property rights.
15. Term, suspension and termination
The contract runs for an indefinite period. You may terminate it at any time by closing your organization. We may terminate it with 30 days' notice, or suspend or terminate immediately in case of a serious breach of these Terms; we will always attempt to resolve issues by agreement first.
Data export and deletion: you may export your event data at any time during the contract and for 30 days after termination. After that, or earlier at your request, we delete Organizer Data within 7 days, with copies in encrypted backups purged within 90 days, unless the law requires longer retention (accounting and tax records in particular). Sections that by their nature survive termination (liability, personal data, disputes) remain in effect.
16. Changes to these Terms
We may change these Terms to a reasonable extent where the change is justified by the development of the Platform, its features and pricing, security requirements, or changes in law. We will notify you of changes by email at least 30 days before they take effect, describing what changes. If you do not agree, you may terminate the contract free of charge before the change takes effect; continuing to use the Platform afterwards constitutes acceptance. Changes never apply retroactively.
17. If you are a consumer
If you use Bookitive as a natural person outside your trade or business:
- You may withdraw from the contract within 14 days of its conclusion without giving a reason, using the statutory model form or any unambiguous statement sent to [email protected]. If you ask us to start providing the service during this period, you expressly consent to early performance and acknowledge that upon full performance the right of withdrawal lapses; if you withdraw after such consent, you pay a proportionate part of any agreed price for the service already provided.
- Since the Platform itself is free to start and Fees arise only from ticket sales, withdrawal is free unless commissions have already accrued.
- Out-of-court dispute resolution: the Czech Trade Inspection Authority (Česká obchodní inspekce, coi.gov.cz) is competent for consumer disputes with us.
- Contract summary, these Terms and the withdrawal instructions are provided to you in text form in the sign-up confirmation email.
- No clause of these Terms deprives you of protections granted by mandatory consumer law; in case of doubt, the interpretation more favourable to you applies.
18. Governing law, language and final provisions
Governing law. These Terms are governed by the laws of the Czech Republic. If you are a consumer, this choice does not deprive you of the protection of mandatory provisions of the law of the country of your habitual residence, and you may bring or defend proceedings in the courts of that country.
Language. These Terms are drafted in English. Translations are provided for convenience; in case of inconsistency the English version prevails. If you are a consumer and concluded the contract in another language offered by us, the version in that language applies to you to the extent it grants you greater protection.
Between entrepreneurs, the application of §§ 1799 and 1800 of the Czech Civil Code (adhesion contract clauses) is excluded.
If any provision is found invalid, the remainder stays in effect. You may not assign the contract without our consent; we may assign it within our corporate group or in connection with a transfer of the service, without prejudice to your termination rights. Notices are given by email. Neither party is liable for failures caused by circumstances beyond its reasonable control.
